OFFICIAL RULES

1. NO PURCHASE OR CONTRIBUTION NECESSARY TO ENTER OR WIN. MAKING A PURCHASE OR CONTRIBUTION WILL NOT IMPROVE AN INDIVIDUAL’S CHANCE OF WINNING.

2. HOW TO ENTER: To enter the Carlos Belcast competition (the “Sweepstakes”), you must: (1) Follow Carlos’ Instagram account at https://www.instagram.com/carlosbelcast (the “Athlete Account”) and the Gymshark Main Instagram account at https://www.instagram.com/gymshark; (2) “like” the post made by Carlos Belcast on the Athlete Account account on 20 December 2023 (the “Post”); (3) download the Gymshark Training App on either iOS or Android; and (4) send a direct message to the Athlete Account containing a screenshot of your 2024 fitness/health “badge” from the Gymshark Training App (which will be activated after you select your top three fitness/health goals for 2024 on the Gymshark Training App).The sweepstakes will begin on 20 December 2023 at 1pm MST and end 1pm MST on 22 December 2023 (“Sweepstakes Period”). Sponsor’s computer is the official time-keeping device for the Sweepstakes. Fill in all required information. You may enter only once. Use of any robotic, automatic, programmed, or similar entry method or entering more than the number of times permitted will void all entries and result in disqualification. You may not enter more times than indicated by using multiple email addresses, identities, or devices in an attempt to circumvent the rules. For this Sweepstakes receipt of an Internet entry occurs when Sponsor’s server records the entry information. All entries must be complete and are subject to verification by the Sponsor, in its sole discretion. Entrants grant Sponsor a non-exclusive license to use all entries for any purpose.

3. SPONSOR: This Sweepstakes is sponsored by Gymshark USA Inc. (“Sponsor”), 370 17th Street, Denver, CO 80202 USA (“Sponsor’s Office”).

4. ELIGIBILITY: Open to all legal residents of the city of Los Angeles, California, who are at least 18 years of age as of 20 December 2023, except for employees, directors, and officers (or any persons who have been employees, directors or officers in the past twelve months) of Gymshark USA Inc. and/or Gymshark Ltd, and the immediate families or household members. “Immediate family members” shall mean parents, stepparents, children, stepchildren, siblings, stepsiblings, or spouses, regardless of where they live. “Household members” shall mean people who share the same residence at least three months a year, whether related or not. Void where prohibited or restricted by law or regulations.

5. PRIZE: (i)the winner of the Sweepstakes will win a personal “Gymshark 66” program consultation with Carlos Belcast, which shall include an IRL-meeting with Carlos, who will fly out to meet the winner to discuss and set up the winner’s Gymshark 66 fitness and health goals. Carlos and the winner will have various virtual check-ins throughout the Gymshark 66 period, and at the end of the Gymshark 66 challenge period, the winner will be flown-out to a Sponsor-run event for a final check-in with Carlos (exact times and dates for the above meetings and check-ins to be confirmed between Carlos, Sponsor and winner). As part of the prize, the winner agrees for his/her name, image and likeness to be included in a YouTube video feature to be hosted on Carlos Belcast’s YouTube channel (on a date to be notified to winner by Sponsor/Athlete). Total approximate prize value: $1,000. Prize consists of only those items specifically listed as part of the prize. Limit of one prize per family or household. No substitution or transfer of prize permitted by winner. Sponsor reserves the right to substitute a prize of equal or greater value. All prizes will be awarded. If a potential winner is disqualified for any reason, Sponsor will award the applicable prize to an alternate winner by random drawing from among all remaining eligible entries. Only three (3) alternate drawings will be held, after which the prize will remain un-awarded. Actual/appraised value may differ at time of prize award.

6. DRAWING: A random drawing will be conducted on or about 20 December 2023 by Sponsor/Athlete to select the winner from among all eligible entries received. Odds of winning depend on the number of entries received. Potential winner will be notified by email, given instructions on how to claim the prize, and must respond to such email within ten (10) days of the date notice is sent. Failure to respond within the applicable time period will result in forfeiture of prize and Sponsor shall have the option to award the prize to an alternate winner. The return of any prize notification or prize as undeliverable may result in disqualification and an alternate winner may be selected. All income taxes resulting from acceptance of prize are the responsibility of each winner. By entering these sweepstakes, entrant accepts and agrees to these Official Rules and the decisions of the Sponsor, which shall be final in all matters. Acceptance of a prize also constitutes permission to the Promotion Parties to use each winner's name and likeness, and biographical information for marketing purposes without further compensation or right of approval, unless prohibited by law. The Sweepstakes is subject to all federal, state, and local laws and regulations.

7. LIMITATION OF LIABILITY: Except where prohibited or limited by law, by entering this sweepstakes, entrants waive all right to, and hold harmless the Sponsor and its subsidiaries, parent organization, affiliates, partners, employees, directors, agents, advertising agencies, and all other associated with the development and execution of this Sweepstakes (“Released Parties”), from, any claim, liability, loss, damage (including punitive, incidental, and consequential damages), or expense (including attorneys' fees) arising out of or in connection with preparation for, or participation in this sweepstakes, or the acceptance, use, or misuse of any prize (including any travel or activity related thereto or technical failures of any kind, including but not limited to the malfunctioning of any computer, cable, network, hardware or software) or participation in any Sweepstakes-related or prize-related activity and for any claims or causes of action based on publicity rights, defamation or invasion of privacy and merchandise delivery. By entering the Sweepstakes you further agree that: (i) any and all disputes, claims, and causes of action arising out of or in connection with the sweepstakes, or any prizes awarded, shall be resolved individually without resort to any form of class action; (ii) any claims, judgments and awards shall be limited to actual out-of-pocket costs incurred, including costs associated with entering the sweepstakes, but in no event attorney’s fees; and (iii) under no circumstances will any entrant be permitted to obtain any award for, and entrant hereby waives all rights to claim, punitive, incidental or consequential damages and any and all rights to have damages multiplied or otherwise increased and any other damages, other than damages for actual out-of-pocket expenses. The Released Parties assume no responsibility for any injury or damage to entrants or to any other person’s computer or other device, regardless of how caused, relating to or resulting from entering or downloading materials or software in connection with this Sweepstakes. Entrants and winner acknowledge that Sponsor has neither made nor is in any manner responsible or liable for any warranty, representations or guarantees, express or implied, in fact or in law, relative to the prize or any component thereof, including, but not limited to, express warranties provided by the supplier of a prize or their affiliates.

Sponsor will not be responsible for: late, incomplete, or incorrect entries; an entrant's failure to receive prize notices due to entrant's spam, junk e-mail, or other security settings or for entrants' provision of incorrect or otherwise non-functioning contact information; technical, hardware, or software malfunctions, lost or unavailable network connections, or failed, incorrect, inaccurate, incomplete, garbled, or delayed electronic communications whether caused by the sender or by any of the equipment or programming associated with or used in this sweepstakes; by any human error which may occur in the processing of the entries in this sweepstakes; or any typographical, technological, or other error in the publishing of the offer, administration of the sweepstakes, or announcement of the prize. If, in the Sponsor's opinion, there is such an error, or there is any suspected evidence of tampering with any portion of the sweepstakes, or if technical difficulties (including viruses and bugs) compromise the integrity of the sweepstakes, Sponsor reserves the right to request that the Sponsor, in its sole discretion, suspend, cancel or modify this sweepstakes in a manner deemed appropriate by the Sponsor. In the event of termination, winners will be selected from among all eligible entries received as of date of termination. In the event a dispute arises as to the identity of a potentially winning entrant, entries will be declared made by the name on the online or write-in entry form.

8. OTHER RULES: By participating in the Sweepstakes, you agree to be bound by these official rules, including all eligibility requirements, and the decisions of the judges, which are final and binding in all matters relating to the Sweepstakes. Failure to comply with these official rules may result in disqualification from the Sweepstakes. Sponsor reserves the right to permanently disqualify from any sweepstakes it sponsors any person it believes has intentionally violated these official rules.

9. CHOICE OF LAW AND FORUM: Entrant agrees that all matters arising out of or relating to this sweepstakes and these Official Rules are governed by, and construed in accordance with, the laws of Colorado, without giving effect to any of its conflict of laws provisions thereof. Entrant further agrees that any legal suit, action, or proceeding arising out of or relating to this sweepstakes and these Official Rules shall be brought exclusively in the applicable federal or state courts located in Denver, Colorado.

10. RULE AMENDMENTS: The Sponsor reserves the right, in its sole discretion, to amend or modify these Official Rules, or modify, cancel or suspend this Sweepstakes, without prior notice for any reason whatsoever, including without limitation in the event that any cause beyond the reasonable control of the Sponsor corrupts, or threatens to corrupt, the security or proper administration of the Sweepstakes.

11. INTELLECTUAL PROPERTY: All intellectual property, including but not limited to trademarks, logos, designs, promotional materials, web pages, source codes, images, drawings, illustrations, slogans and representations are owned by the Sponsor. All rights reserved. Unauthorized copying or use of any of the Sponsor’s intellectual property without the express written consent of the Sponsor is strictly prohibited.

12. PRIVACY: Information submitted with an entry is subject to the Privacy Policy located at https://support.gymshark.com/en-US/pages/privacy-notice.

13. WINNERS LIST: For the name of the prize winner, after close of the Sweepstakes Period, send a self-addressed envelope and stamped to: Gymshark USA Inc., 370 17th Street, Denver, CO 80202
